("Top Creation" or the "Company")

Issue of Equity

Top Creation is pleased to announce that it has conditionally raised GBP100,000 before expenses by way of a subscription of 66,666,666 new ordinary shares of 0.1 pence each ("Ordinary Shares") at a price of 0.15 pence per Ordinary Share with institutional investors (the "Subscription"). These funds will be used for additional working capital.

The Subscription Shares will be issued in two tranches. Consideration for the first tranche of GBP50,000 will be remitted to the Company and 33,333,333 Subscription Shares ("First Tranche Shares") will be allotted to investors on 18 June 2014. Consideration for the second tranche of GBP50,000 will be remitted to the Company and 33,333,333 Subscription Shares ("Second Tranche Shares") will be allotted to investors on 3 July 2014.

Application will be made for the First Tranche Shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 18 June 2014 ("First Tranche Admission"). Application will be made for the Second Tranche Shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 3 July 2014 ("Second Tranche Admission").

Following the First Tranche Admission, the Company will have in issue 671,297,619 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the number of Ordinary Shares with voting rights in the Company will be 671,297,619.

Following the Second Tranche Admission, the Company will have in issue 704,630,952 Ordinary Shares.

These figures may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
