The special resolution to authorise the tender offer announced on 27 November
2002 was duly passed at an extraordinary general meeting of TCI held today.

The Tender Price and Entitlement (as defined in the circular to shareholders
dated 27 November 2002) are expected to be announced on 16 December 2002.
