                             Disclosure of Dealing



Lighthouse Group plc announces that, in accordance with the provisions of the
proposed merger with Sumus Plc, to be effected by means of a Scheme of
Arrangement pursuant to Section 425 of the Companies Act 1985, it has become a
member of Sumus Plc through the purchase of 1 Ordinary Share in the issued share
capital of Sumus Plc for 39 pence.  Following the purchase Lighthouse now holds,
in aggregate, 1 Ordinary Share in of the issued share capital of Sumus.



The Panel on Takeovers and Mergers has confirmed on an ex parte basis that this
dealing has no Code consequences.
