                              Loanstock conversion

The Company announces the conversion of #69,284 nominal Series B Fixed Rate
Unsecured Loan Notes to 882,352 ordinary shares of 0.5p each ("Ordinary Shares
"). Application has been made for the Ordinary Shares to be admitted to trading
on AIM and dealings are expected to commence on 24 November, 2005. The Ordinary
Shares will rank pari passu with the existing Ordinary Shares in issue and
increase the number of Ordinary Shares in issue to 17,692,926.
