             SEP INDUSTRIAL HOLDINGS PLC ("SEP" or "THE COMPANY)

                             RESULT OF OPEN OFFER

The Directors of SEP announce that as at 3pm on 11 July 2001, the closing date
of the open offer set out in the circular to shareholders dated 20 June 2001
("the Open Offer"), valid applications under the Open Offer in respect of
248,254 ordinary shares had been received along with excess applications in
respect of 46,821 ordinary shares. This represents in aggregate 4.86 per cent.
of the shares available under the Open Offer.


The full amount required for the Company to implement its strategy following
its proposed acquisition of Integration Limited was conditionally placed firm
with institutional investors and underwritten prior to the Open Offer.


As set out in the supplementary prospectus posted to shareholders on 10 July
2001, the Directors intend to use their discretion under the terms of the Open
Offer to accept applications under the terms of the Open Offer received on or
prior to 16 July 2001. In addition, shareholders who have applied for shares
under the Open Offer may withdraw their application by contacting the
Company's registrars on or prior to 16 July 2001.
