Issue of Shares

Planet Payment, Inc. (NASDAQ:PLPM) (LSE: AIM: PPT), a leading provider of international payment and transaction processing and multi-currency processing services, announces the following change in issued share capital.

The Company has applied to AIM for 20,233 new Common Shares to be admitted to trading pursuant to the exercise of warrants. The shares are to be issued to the holder of a warrant issued in 2008, in connection with an investment in Common Shares, upon net exercise of such warrants at an exercise price of $0.45 per share (approximately GBP0.15 per share).

Following the admission of the above shares the Company will have a total of 55,047,860 issued and outstanding Common Shares admitted to trading on AIM under the ticker PPT. All unrestricted Common Shares are tradable on the NASDAQ market in the United States under the ticker PLPM.

Dealings in the new shares are expected to commence on 9 January 2014.
