Phoenix VCT plc announces that on 3 February 2006 the Company purchased for
cancellation 83,175 Ordinary Shares of 10p each at a price of 95p per share.

The issued share capital of the Company is now 11,087,132 Ordinary Shares and
5,221,188 C Shares.
