Phoenix VCT plc announces that on 27 September 2005 the Company purchased for
cancellation 28,125 Ordinary Shares of 10p each at a price of 100p per share.

The issued share capital of the Company is now 11,176,407 Ordinary Shares and
5,221,188 C Shares.
