Update on the Scheme, Result of Second General Meeting, Cancellation of Reclassified Shares from Trading and issue of New ZDP Shares in PEWT Securities 2020 plc

The Company announces that the Second General Meeting of the Company was held earlier today at which a special resolution was proposed and unanimously passed.

Accordingly, the Company has been placed into members' voluntary liquidation and James Eldridge and Jeremy Willmont, both of Moore Stephens LLP of 150 Aldersgate Street, London EC1A 4AB have been appointed as liquidators. As a result the Scheme will become effective today.

The Company's Reclassified Shares with ISIN GB00BZ76QK75 and GB00BZ76QL82 were duly suspended at 7.30 a.m. this morning.

Application has been made to the UK Listing Authority and the London Stock Exchange for the listing and admission to trading of the Reclassified Shares to be cancelled. It is expected that such cancellation will take place at 8.00 a.m. on 4 January 2016.

Pursuant to the elections made by ZDP Shareholders announced on 14 December 2015 and the result of the First General Meeting and reclassification of Existing ZDP Shares announced on 21 December 2015, ZDP Shareholders holding ZDP Shares with “A” rights (ISIN GB00BZ76QK75) will receive New ZDP Shares in PEWT Securities 2020 plc on the winding-up of PEWT Securities and those ZDP Shareholders holding ZDP Shares with “B” rights (ISIN GB00BZ76QL82) will receive cash on the winding-up of PEWT Securities.

New ZDP Shares in PEWT Securities 2020 plc are expected to be issued today to satisfy ZDP Shareholders holding ZDP Shares with “A” rights. Application has been made for the New ZDP Shares of PEWT Securities 2020 plc to be admitted to the standard listing segment of the Official List and to trading on the Main Market of the London Stock Exchange. Dealings in the New ZDP Shares of PEWT Securities 2020 plc are expected to commence on 4 January 2016. The New ZDP Shares will trade using the ticker PEZ and under ISIN GB00BYP98L62.

ZDP Shareholders who elected for cash will be credited through the CREST system on or around 8 January 2016. Cheques will be despatched to all other ZDP Shareholders who elected for cash on or around 8 January 2016.

A copy of the special resolution has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/nsm.
