    Issue of Equity

    The Directors of Octopus Protected VCT 2 plc are pleased to announce an allotment on 20 October 2008 of 129,460 ordinary shares of 10p
each ("Ordinary Shares") at a price of 100 pence per share pursuant to the Offer that opened on 17 July 2008. 

    Application for the Ordinary Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock
Exchange's market for listed securities will be made shortly and dealings are expected to commence on 22 October 2008.

    The Company now has 1,284,360 Ordinary shares in issue.

    The Offer is expected to remain open until 3 April 2009 unless previously extended or fully subscribed earlier.
