Issue of shares

M&G Income Investment Company Limited announces that it issued 1,910,312
package units (each package unit comprising two ordinary shares and one zero
dividend share) to a market participant at 81.92 pence per package unit
representing 1.38% of the ordinary shares in issue and 0.81% of the zero
dividend shares in issue.

Following this issue, the Company's issued share capital now comprises
275,869,416 ordinary shares and 235,324,860 zero dividend shares.

Dealings in the shares will commence on 3rd October 2008. Application has been
made to the UK Listing Authority for the shares to be admitted to the Official
List, to the Market Authority for the Channel Islands Stock Exchange for the
shares to be admitted to the Official List, and for the shares to be admitted
to trading on the London and Channel Islands Stock Exchanges.
