Annual General Meeting

Manroy announces that at its Annual General Meeting (the "Meeting") held earlier today, shareholders agreed that the Meeting should be adjourned to 11.00 a.m. on 23 April 2014. The adjourned meeting will be held at the offices of Allenby Capital Limited, 3 St Helen's Place, London EC3A 6AB. At the Meeting, the Company's Chairman, Andrew Blurton, made the following statement:

"Normally, the Company's report and financial statements are despatched in sufficient time to ensure that shareholders have received them at least 21 days before the date of the annual general meeting. This year however, we had not been able to do this. The reason for them not being despatched with this year's Notice emanates from the announcement made by the Company on 26 November 2013 that it is in an offer period under the Takeover Code on Mergers and Acquisitions. I am pleased to say that negotiations concerning this potential offer have continued proactively since that date and the offer for the Company by F N Herstal at a price of 85p per share was formally announced on 28 March 2014.

I am also pleased to confirm that the announcement of this offer has enabled the financial statements for the year ended 30 September 2013 to be finalised over this last weekend and they are being posted to shareholders today. In order to allow shareholders sufficient time to consider the report and financial statements for at least 21 days before the date of the meeting, I propose that this meeting is adjourned to the same time of 11.00am on 23 April, which will be more than the minimum 21 day period from despatch of the financial statements to the date of the adjourned meeting. Proxy cards already sent by shareholders for this meeting will be valid for the adjourned meeting."

The Company's annual report and financial statements for the year ended 30 September 2013 have been posted today to shareholders and are also available on the Company's website, www.manroy.com, in accordance with AIM Rule 20.
