    KSK Emerging India Energy Fund Limited ("the Company")


    In compliance with rule 5.6.1 of the Disclosure and Transparency Rules, the Company makes the following announcement in relation to its
share capital. 

    As at the date of this announcement, the Company's issued share capital consists of 101,000,000 ordinary shares, with a nominal value of
�1.00 each. The Company holds 6,500,000 ordinary shares in Treasury and therefore the total number of voting rights in the Company is
94,500,000. 
      
    The above figure of 94,500,000 ordinary shares may be used by shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to their interest in the Company under the Financial Services
Authority's Disclosure and Transparency Rules.
