Notice of AGM Results and changes to Board of Directors

AIM RELEASE

KIMBERLEY DIAMOND COMPANY NL (the Company) (AIM: KDC)
RESULTS OF ANNUAL GENERAL MEETING AND
AND CHANGES TO BOARD OF DIRECTORS

The Chairman of Kimberley Diamond Company NL (ASX: KIM, AIM: KDC) (the Company)
advised the meeting that on Friday, 23 November, Gem Diamonds Australia Pty
Limited had served notice on the Company declaring its takeover offer free of
all outstanding conditions.

Accordingly, Resolutions 1 and 2 on the agenda of the Notice of Annual General
Meeting were withdrawn as it had been agreed that immediately following the
meeting Stephen Lee Wetherall, Neil Richard Kaner and Constantino Paoiliello
would be appointed to the Board of Directors of the Company and Miles Kennedy,
Karl Simich, Kevin Somes, Peter Danchin and Robert Still would resign as
directors of the Company.

The Company received proxies representing 55,344,648 ordinary shares being
approximately 12.8% of the Company's issued capital. In accordance with Section
251AA of the Corporations Act 2001, details of the proxy voting are as follows.
Resolution 3 - 54,416,275 for; 706,391 against; discretionary 189,310; 32,852
abstained.

No other motions were put to the meeting.

Details on the new directors, as required by the AIM Rules for Companies, are
as follows.

1. Stephen Lee Wetherall (age 35) is an executive within the Gem Diamonds
Limited ("Gem") group of companies. He is currently the New Business Manager in
Gem's Technical Services Division and a director of the Gem subsidiaries, Gem
Diamonds Australia Pty Ltd and Gem Diamonds Australia Holdings Pty Ltd. Mr
Wetherall is a member of the South African Institute of Chartered Accountants
and has previously held management positions with Deloitte & Touche, De Beers
and AFGRI. Mr Wetherall has no interest in shares in the Company other than
through his position as a director of the Gem subsidiary companies.

2. Neil Richard Kaner (age 49) is also currently a director within the Gem
group of companies. He is currently Managing Director of Gem subsidiary, BDI
Mining Corp BVI, and is a director of various other Gem subsidiaries. Mr Kaner
was previously Managing Director of SA Mineral Resources Corp Ltd and
Consulting Mining Engineer to Letseng Diamonds Pty Ltd. Mr Kaner has no
interest in shares in the Company other than through his position as a director
of the Gem subsidiary companies.

3. Constantino Paoliello (age 38) is a partner of RSM Bird Cameron Chartered
Accountants. He is a director of Gem Diamonds Australia Pty Ltd, Gem Diamonds
Australia Holdings Pty Ltd, Amarulla Pty Ltd, Aim Holdings Pty Ltd and Birdanco
Nominees Pty Ltd. Previous positions include Commercial Manager for Homeloans
Limited. Mr Paoliello has no interest in shares in the Company other than
through his position as a director of the Gem subsidiary companies.
