    Result of the Third Extraordinary General Meeting

    The Board of JZ Equity Partners Plc (the "Company") announces that at the third extraordinary general meeting of the Company held today,
30 June 2008, the resolutions before the meeting were, on a poll, passed by Shareholders and accordingly the Company has been placed in
members' voluntary liquidation.  Patrick Joseph Brazzill and Margaret Elizabeth Mills, both of Ernst & Young LLP, have been appointed
liquidators to the Company.  Dealings in the shares in the Company (including the re-classified shares) were suspended this morning and the
share registers have been closed.  

    The results of the proxy voting figures in respect of the meeting are as follows:

    Under the Scheme, other than those who validly dissented from the Scheme, Shareholders will receive one New Ordinary Share in JZ Capital
Partners Limited for each existing ordinary share that they hold and one New ZDP share in JZ Capital Partners Limited for each existing ZDP
Share that they hold.  

    Application has been made to the UK Listing Authority and the London Stock Exchange 
    for 97,527,916 New Ordinary shares and 45,662,313 New Zero Dividend Preference shares in JZ Capital Partners Limited to be listed at
8.00 am on 1 July 2008.  

    The New Ordinary Shares will trade under the name "JZCP", and the New Zero Dividend Preference Shares will trade under the name "JZCZ". 
 The ISIN code for the New Ordinary Shares is GG00B2RK0R31 and the ISIN Code for the New Zero Dividend Preference Shares is GG00B2RK0S48.  

    Dealings will commence in the JZ Capital Partners Limited Shares at 8.00 am on 1 July 2008 and CREST accounts will be credited on 1
July. Definitive certificates for JZ Capital Partners Limited Shares will be dispatched no later than 15 July. 

    Terms used in this announcement shall have the same meaning as those set out in the circular to shareholders dated 12 May 2008.  Copies
of the resolutions passed have been submitted to the Document Viewing Facility of the UK Listing Authority and will shortly be available for
inspection at:
