        Further re Restrucuture Proposal announced on 10th November 2006



             JPMorgan Fleming Income & Growth Investment Trust plc





The Company advises that its portfolio exposure as at close of business on 22nd
November, 2006 is as follows;







UK Equities                                  89.9%

Fixed Interest - Corporate                    2.7%

Fixed Interest - Government                   4.9%

Cash/Liquidity Funds                         22.6%

Fixed Term Bank Loan                        (20.1%)

The Company intends to repay the Fixed Term Bank Loan in full on 30th November,
2006 utilising its existing cash resources.



The Company retains in the portfolio a FTSE 100 5875 Put Option which expires on
15th December, 2006. On purchase the option represented 26% of the UK equity
exposure.
