Grant and Exercise of Annual Options

Ishaan Real Estate plc ("the Company"), announces that at a Board meeting on 13 March 2012, the Company approved a grant of options over 48,804 ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares"), to Stephen Vernon in accordance with his letter of appointment as non-executive Director of the Company dated 1 August 2007 (the "Annual Options").

The Annual Options, which are being granted to Stephen Vernon in lieu of salary, have an exercise price of 1 pence per Ordinary Share and will be exercised immediately. Following the exercise of the Annual Options, Stephen Vernon will have an interest in 506,688 Ordinary Shares.

An application has been made to the London Stock Exchange for the new Ordinary Shares, which will rank pari passu with existing Ordinary Shares, to be admitted to trading on AIM. It is expected that these new Ordinary Shares will be admitted to trading on 19 March 2012.

Following the admission to AIM of the new Ordinary Shares, the Company will have 145,730,525 Ordinary Shares with voting rights in issue.
