Level of acceptances
                                      
The  board  of  Anglian Water announces that at 3.00 pm on 9 July  1997,  the
second  closing  date of the Offer, valid acceptances of the Offer  had  been
received  in  respect of 5,983,305 ordinary shares of 10p each in  Hartlepool
Water  ("Hartlepool Water Shares"), representing approximately 81.7 per cent.
of  the  issued  share  capital  of  Hartlepool  Water.   Included  in  these
acceptances  are  acceptances received pursuant to  irrevocable  undertakings
from the directors of Hartlepool Water in respect of 706,720 Hartlepool Water
Shares, representing approximately 9.7 per cent. of Hartlepool Water's issued
share capital.

As  disclosed in the Offer document, on 29 May 1997 Anglian Water acquired  a
beneficial  interest  in  1,125,000  Hartlepool  Water  Shares,  representing
approximately  15.4  per cent. of Hartlepool Water's  issued  share  capital.
Anglian  Water  therefore owns or has received acceptances in  respect  of  a
total  of 7,108,305 Hartlepool Water Shares, representing approximately  97.1
per cent. of Hartlepool Water's issued share capital.  The Offer was declared
unconditional as to acceptances on Wednesday 25 June 1997.

The Offer has been extended until 3.00 pm on Wednesday 16 July 1997.

Save  as disclosed above, neither Anglian Water nor any person deemed  to  be
acting  in  concert with Anglian Water held any Hartlepool Water  Shares  (or
rights  over  such shares) as at 27 May 1997, the day before the commencement
of  the  Offer  period,  or  has  otherwise acquired  or  agreed  to  acquire
Hartlepool Water Shares (or rights over such shares) during the Offer period.

Hartlepool  Water  shareholders who have not yet accepted  the  Offer  should
despatch their Forms of Acceptance as soon as possible.
