Notice of Result of Class Meetings

Harewood Structured Investment PCC Limited - Euro High Income Cell 
Class A Sterling Hedged Euro High Income Preference Shares (the "Class A 
Shares") 
Class B Unhedged Euro High Income Preference Shares (the "Class B Shares") 
 
The results of the Special Resolutions proposed at the Class Meetings of the 
Class A Shares and the Class B Shares of the Company held today were as follows: 
 
Class A Sterling Hedged Euro High Income Preference Share Class Meeting 
ISIN GG00B1YKCQ26 
 
IT WAS RESOLVED THAT 
 
(a)        the Specific Terms and Conditions of each of the Shares be varied 
with effect  from (and including) the Effective Date so that the Redemption Date 
in respect of the Shares is amended to 29 June 2010 (the "Early Redemption 
Date"); 
(b)        on redemption of the Shares on the Early Redemption Date, the Shares 
be delisted from the CISX; 
(c)        all consents, sanctions and agreements are given to each and every 
variation, amendment or abrogation to (i) the Shares, (ii) the Euro Summary, 
(iii) the registration document of the Company dated 30 May 2007, and (iv) the 
Articles, in each case arising in connection with the matters contemplated in 
the Notice and/or as are required to give effect to this Special Resolution; and 
(d)        the Directors of the Company be authorised and instructed to take any 
and all steps as they determine are necessary or desirable in connection with 
the matters contemplated in the Notice and to give effect to this Special 
Resolution including, without limitation, compliance with all the requirements 
of the CISX. 
  (44,008,943 votes cast in favour, 3,000 votes cast against and none withheld.) 
 
 
Class B Unhedged Euro High Income Preference Share Class Meeting

IT WAS RESOLVED THAT 
 
(a)        the Specific Terms and Conditions of each of the Shares be varied

in respect of the Shares is amended to 29 June 2010 (the "Early Redemption

(e)        on redemption of the Shares on the Early Redemption Date, the Shares 
be delisted from the CISX; 
(f)         all consents, sanctions and agreements are given to each and every 
variation, amendment or abrogation to (i) the Shares, (ii) the Euro Summary, 
(iii) the registration document of the Company dated 30 May 2007, and (iv) the 
Articles, in each case arising in connection with the matters contemplated in 
the Notice and/or as are required to give effect to this Special Resolution; and 
(g)        the Directors of the Company be authorised and instructed to take any 
and all steps as they determine are necessary or desirable in connection with 
the matters contemplated in the Notice and to give effect to this Special 
Resolution including, without limitation, compliance with all the requirements 
of the CISX. 
                       (9,430,212 votes cast, all in favour, and none withheld.) 
 
 
 
Accordingly, the listing of the securities listed above will be suspended from 
their official listing on the Channel Islands Stock Exchange, LBG with effect 
from 6.00pm on 25 June 2010.  The securities listed above will be de-listed on 
30th June 2010 at 7:00am at the request of the Company.
