  PAYMENT OF INTERIM DIVIDEND




  After complying with the requirements of Article 216 of the Spanish Public Companies Law, at its meeting on 20 February 2009 the Company Board of Directors resolved to pay an interim dividend out of 2008 profit of a gross amount of EUR5.897 per share, with effect from 16 March 2009. Accordingly, from 16 March 2009 ENDESA shares will be quoted ex-dividend.




  Payment of the above amount, net of any applicable tax-withholding, will be made through Banco Santander, S.A., sort code 0049, in compliance with the regulations governing participating entities, using the means made available by Iberclear to its custodians with whom shareholders have deposited their shares, upon presentation by the shareholders of their book-entry certificates.




  Notice of the Board resolution agreeing the payment of this interim dividend was given to the Spanish Securities Market Commission (CNMV) on 20 February 2009.
