Entitlements of Shareholders and Warrantholders under the Scheme of
Reconstruction.


Elections were validly received under the Scheme of Reconstruction in respect of
23,305,479 Ordinary Shares, of which 18,519,214 were (or were deemed to be) for
the Cash Option, and 3,164,975 were for the rollover into the Emerging Markets
Fund or the Tiger Trust. Elections in respect of 1,621,290 Shares were received
from Restricted Holders who will receive a cash payment equal to the aggregate
value attributed to their Ordinary Shares.


The entitlements of Shareholders and Warrantholders of the Company under the
Scheme of Reconstruction are as follows:


Shareholders who have elected (or are deemed to have elected) to receive
Dresdner Emerging Markets Fund Shares will receive, for every 1 Share in the
Company, 0.1365 Class A (sterling) Emerging Markets Fund Shares, which are
issued to the value of 793.0 pence per share.


Shareholders who have elected for Dresdner RCM Tiger Trust Units will receive,
for every 1 Share in the Company, 0.4534 Tiger Trust Units, which are issued to
the value of 238.8 pence per Unit.


Shareholders who elected (or are deemed to have elected) for the Cash Option
will receive one Cashco Share for each Share in the Company held by them. At an
extraordinary general meeting of Cashco held earlier today, a resolution was
passed to put Cashco in liquidation. For every Cashco Share, a Shareholder will
receive an amount of 108.3379 pence in the winding-up of Cashco.


Warrantholders will receive under the Scheme, in respect of each Warrant held, a
sum of 11.05 pence per Warrant.


It is expected that contract notes for the Emerging Markets Fund Shares or Tiger
Trust Units will be despatched to the persons entitled thereto by Friday 3rd May
2002 or shortly thereafter, and that cheques will be despatched, or CHAPs
payments made, to Warrantholders, Restricted Holders and to Ordinary
Shareholders who have elected (or are deemed to have elected) for the Cashco
Option by Tuesday 7th May 2002.


The respective numbers of reclassified shares has been amended; accordingly
there are now 2,968,550 Ordinary Shares with "A" rights; 196,425 Ordinary Shares
with "B" rights; 18,519,214 Ordinary Shares with "C" rights; and 1,621,290
Ordinary Shares in issue. The total number of shares in the Company remains
unchanged.
