Related Party Transactions

Catenae Innovation PLC (AIM: CTEA), the AIM quoted provider of digital media and technology, announces the following historic related party transactions (in aggregate, the "Transactions"):

1. On 8 June 2022 and 8 December 2022, the Company purchased certain insurance policies valued at, in aggregate, GBP18,058 for the Company through B.T.I.C. Limited (the "Transaction 1"), a company controlled by Brian Thompson, a director of the Company.

2. On 17 May 2021 the Company purchased certain insurance policies valued at GBP17,800 for the Company through B.T.I.C. Limited (the "Transaction 2"), a company controlled by Brian Thompson, a director of the Company.

3. On 30 April 2020 the Company purchased certain insurance policies valued at GBP12,880 for the Company through B.T.I.C. Limited (the "Transaction 3"), a company controlled by Brian Thompson, a director of the Company.

Guy Meyer and John Farthing, being directors of the Company independent of Transactions 1 - 3, having consulted with the Company's nominated adviser, Cairn Financial Advisers LLP, consider that, at the time they were entered into, the terms of the Transactions 1 - 3 are fair and reasonable in so far as the Company's shareholders are concerned.
