                        Crystalband plc ("the Company")


              Placing and Notice of Extraordinary General Meeting



The Company is pleased to announce that it intends to raise approximately
#500,000 by way of a placing of 4,166 667 new ordinary shares of 0.5p each ("
Ordinary Shares") at 12p per share (the "Placing").



The proceeds from the Placing will assist the Company in the purchase of a
production plant  and to provide associated additional working capital.



The Placing is conditional upon the approval of certain resolutions by the
shareholders of the Company ("the Shareholders") at an Extraordinary General
Meeting ("EGM").  Accordingly, the Company has written to Shareholders convening
an EGM to be held at the offices of Zeus Capital Limited, 3 Ralli Courts, West
Riverside, Manchester M3 5FT at 10.00am on Monday 18 April 2005.



At the EGM, resolutions will be proposed to:-



*        increase the authorised share capital of the Company;



*        authorise the Directors pursuant to Section 80 of the Companies Act
1985 ("the Act") to allot relevant securities up to an aggregate nominal value
of #20,833.33 in relation to the Placing and otherwise thereafter up to an
aggregate nominal amount of #21,817.99; and



*        authorise the Directors pursuant to Section 95 of the Act to allot
equity securities (as defined in the Act) for cash outside the Shareholders'
statutory pre-emption provisions for the purposes of the proposed Placing and
otherwise up to 4,363,599 ordinary shares of 0.5p each (being a nominal value of
#21,817.99)..
