                      Ciref Plc ("Ciref" or "the Company") 
 
                                  Result of EGM 
 
On 7 April 2010, the Board of Directors of Ciref announced details of certain 
requests necessary to facilitate the proposed listing of the Company on the JSE 
Securities Exchange Limited ("JSE").  These included the need to adopt new 
articles of association, increase the authorised share capital of the Company 
together with the Board's authority to allot Ordinary Shares for cash, and 
disapply pre-emption rights for the proposed placing to be implemented in 
conjunction with the listing.  These changes were subject to the approval of 
Shareholders. 
 
The Board of Directors of Ciref is pleased to announce that the Resolutions 
proposed at the Extraordinary General Meeting on 30 April 2010 relating to the 
proposals were duly passed without amendment by the required majorities. 
 
Whilst the changes referred to above have now been approved by Shareholders, the 
proposed listing will not be effective until approval has also been granted by 
the regulatory authorities in South Africa to a secondary listing of the Company 
on the JSE.  A further announcement will be made on or around the 17th May 2010, 
when the Company's interim results for the period to end February 2010 are 
expected to be announced.
