                 Results of General Meeting and Change in Board

Carpathian Resources Limited (ASX:CPN)(AIM:CPNR) ("Carpathian" or "the Company")
advises that all resolutions put to the Company's Extraordinary General Meeting
("EGM") held today, 28 February 2008, were passed on a show of hands as ordinary
resolutions.

Prior to the EGM Mr Victor Danko advised the board of Carpathian of his
resignation. Accordingly, Mr Danko was not removed as a Director pursuant to
resolution 3.

Pursuant to resolutions 1 and 2 of the EGM, Mr Fuad Uzbekov and Mr Maximillian
Danishevski have been removed as directors of the Company.

Pursuant to resolutions 4 and 5 of the EGM, Mr Andrew Meister and Mr Franck
Giraudeau have been appointed as directors of the Company.

Mr. Andrew "A.T." Meister is an attorney and has a Masters in Business
Administration. From 2005 to the present, Mr. Meister has served as a director
and partner in Cheky Corporation, a private financial consulting firm. From 1997
to 2005, Mr. Meister served as Director, North America, for Creditanstalt
Banking Corporation, specializing in structuring offshore investments. He also
served as in-house counsel. From 1992 to 1999, Mr. Meister served as the Chief
Operating Officer for Medex Capital Corporation, responsible for mergers,
acquisitions, corporate structuring, and financing. Mr. Meister also received an
H.B.A. from the University of Toronto.

Dr. Franck Giraudeau, Ph.D., is a Production Coordinator for Shell Canada. Dr.
Giraudeau is an expert in the oil and gas developmental processes and has been
identified by Shell Canada as a leadership candidate for vice-president. Over
the past eight years, Dr. Giraudeau has worked for Shell Oil in various
capacities, including project manager, process supervisor, and engineering
process architect, in Montreal, Singapore, and other Canadian locations. Prior
to joining Shell Oil, Dr. Giraudeau worked for Exxon in Belgium and France. Dr.
Giraudeau has an engineering degree from the Industrial School of Lyon, France,
and a PhD in Chemical Engineering from the University of New Brunswick. He is
fluent in French and English, and has a working knowledge of Mandarin Chinese.

The current board of the Company is comprised:

Mr Andrew Meister, Executive Director
Mr Franck Giraudeau, Non Executive Director
Mr Robert Downey, Non-executive Director
Mr Douglas Jendry, Non-executive Director

Mr Andrew Meister is the representative of Energo Holdings Corporation on the
board of the Company.

The information required to be disclosed in accordance with the AIM rules, with
respect to the appointment of Mr Andrew Meister and Mr Franck Giraudeau to the
Carpathian Board, is set out in Appendix 1.

Appendix 1

Andrew Thomas Leslie Steven Meister, aged 44, is a director of Energo Holdings
Corporation. He has had no former directorships in the last 5 years in any
company.

Mr Meister has no interest in the ordinary shares or options of Carpathian.

Franck Christian Rene Joseph Giraudeau, aged 35, has no current directorships
and has had no former directorships in the last 5 years in any company.

Mr Giraudeau has no interest in the ordinary shares or options of Carpathian.

There are no further details are required to be disclosed under paragraph G of
Schedule 2 of the AIM Rules.
