Proposed cancellation from AIM
The Board notes the announcement made yesterday, 18 October
2010, by Nando's Group Holdings Limited ("NGHL") that following its
recommended cash offer for Clapham House (the "Offer"), as at 1.00
p.m. on 15 October 2010, NGHL and its associates own or NGHL has
received valid acceptances in respect of a total of 32,882,570
Clapham House Shares, representing approximately 80.10 per cent. of
the issued share capital of Clapham House.
As a result, Clapham House is applying to the London Stock
Exchange for the cancellation of admission to trading of Clapham
House Shares on AIM.
The London Stock Exchange has agreed that shareholder consent in
a general meeting of Clapham House, which would otherwise be
required pursuant to AIM Rule 41, will not be required as the
proposed cancellation is being made as a result of the successful
Offer, which has been declared wholly unconditional, and as a
result of which NGHL and its associates own or NGHL has received
valid acceptances in respect of more than 75 per cent. of the
issued share capital of Clapham House.
Cancellation of the admission of Clapham House shares to trading
on AIM is expected to be effective from 7.00am on 17 November
2010.
Such cancellation is likely to significantly reduce the
liquidity and marketability of any Clapham House shares with
respect to which the Offer has not been accepted.
The Offer will remain open for acceptance until further notice
and at least 14 days notice will be given before the Offer is
closed.
