                               Issue of equity

The Board of Capcon Holdings plc ("Capcon" or the "Company") is pleased to
announce that is has completed a private placing of 923,000 new ordinary shares,
representing 9.996 per cent. of the existing issued ordinary share capital of
the Company, at 50.5 pence per share to raise #466,155 (the "Placing"). The
proceeds of the Placing will be used for working capital purposes.

Application has been made for the new ordinary shares to be admitted to trading
on the Alternative Investment Market of the London Stock Exchange. It is
expected that admission to trading and dealings in the new ordinary shares will
commence at 8.00 a.m. on Wednesday, 17 March 2004.

Allotment of the new ordinary shares is within the existing allotment
authorities of the Directors and the new ordinary shares will rank pari passu in
all respects with the existing ordinary shares of Capcon. The enlarged issued
share capital of the Company following the Placing will be 10,156,776 ordinary
shares.
