Notice of Extraordinary General Meeting 
 
 
China Medical System Holdings Ltd. (AIM: CMSH) announces that an Extraordinary 
General Meeting (EGM) of the Company is being convened at 11:00am on 31st July 
2009 at Ballroom 3, Wynn Macau, rua cidade de sintra, Nape, Macau. 
 
 
The directors of the Company ("Directors") are seeking approval for the 
introduction of a Key Employee Benefit Scheme ("Scheme") which is a long term 
incentive plan under which, following the fulfillment of certain conditions, 
awards may be granted to key employee of the Company and its subsidiaries 
("Group"), who have been actively involved in the business development of the 
Group ("Key Employee"). The reason for the introduction of the Scheme is not 
only to align the interests of the Key Employee and Shareholders with the long 
term growth and development of the Company but also to attract high quality 
staff in the future. 
 
 The Directors believe that the adoption of the 
Scheme is in the best interests of the Company. 
 
 
At the EGM, the Company will propose an ordinary resolution to consider and 
approve a Key Employee Benefit Scheme and authorize the board of directors of 
the Company to adopt the same and do all such acts and things which they may 
consider necessary or desirable to bring the Scheme into effect. 
 
 
A circular containing the Notice of Extraordinary General Meeting has today been 
posted to Shareholders, and is available on the Company's website:
