                                Issue of shares

The Board of Cagney announces the allotment of 83,902,594 ordinary shares in the
Company pursuant to the authority granted to the Directors in the General
meeting held on 2 May 2008. This is 17,085,890 fewer shares than the maximum
estimated to be required at the time of giving notice of that meeting.

Of these shares, 55,988,484 were issued to the vendors of Cubo Brand
Communications Limited ("Cubo"), in respect of Cubo's performance in 2006, and
27,914,110 to the vendors of Tree (London) LLP ("Tree"), in respect of Tree's
performance in 2007.

The Directors were delighted with the performance of Cubo in both 2006 and 2007,
and with the performance of Tree in 2007, which was its first year as part of
the Group.

An application has been made to the London Stock Exchange for the new ordinary
shares to be admitted to AIM, and it is expected that admission will take place
on 12 May 2008. The new ordinary shares will rank pari passu with the existing
shares of the Company.

Following admission, the total issued share capital of the Company will be
218,296,932 ordinary shares.
