CES SOFTWARE PLC FILES PRELIMINARY PROSPECTUS

CES Software plc ("CES" or the "Company"), October 4, 2004 - London, England, an
AIM-quoted company (AIM:CES) and a leading provider of skill gaming and betting
exchange technology, is pleased to announce that a receipt has been received for
the preliminary prospectus filed earlier today with the securities regulatory
authorities in the provinces of Ontario, Quebec, British Columbia, and Alberta
relating to the Company's previously announced offering of special warrants (the
"Special Warrants"). The prospectus qualifies up to 2,453,000 ordinary shares of
the Company which may be issued on the exercise or deemed exercise of the
Special Warrants as well as an aggregate of 167,288 compensation options to be
issued to CIBC World Markets Inc. and Canaccord Capital (Europe) Limited (the
lead agent and co-agent, respectively, for the financing) on the exercise or
deemed exercise of previously issued compensation options.
