DISPOSAL OF SHARES

Randgold Resources Limited

Mr P Lietard, formerly of the International Finance Corporation ("IFC"),
consented to the transfer of the proceeds of the October 2001 Randgold
Resources Limited share buy back to the IFC. The share buy back was undertaken
at an amount US$7.00 per share repurchased. Mr Lietard was refunded the cost
of exercising his 9,455 share options less the cash portion of the share buy
back. The transfer of the 6,233 ordinary shares was therefore registered in
the name of the IFC on 13 December 2001. Full details of the transaction were
disclosed to Randgold Resources Limited on 23 January 2002.
