Change in significant shareholder interest and notice of initial substantial
holder





Aztec was informed on 21 November 2006 by Mount Gibson Iron Limited ("Mt Gibson
") that its interest in Aztec is now 477,807,615 ordinary shares or 42.24%,
including shares owned by parties who have accepted Mt Gibson's off-market
takeover bid for all the fully paid ordinary shares in Aztec ("the Offer"). The
previous notice by Mt Gibson of its interest in Aztec on 10 November 2006 stated
that at that time Mt Gibson had an interest in 464,169,174 ordinary shares or
41.03%.



Aztec was also informed on 21 November 2006, by Gallagher Holdings Ltd ("
Gallagher"), that it had entered into an agreement with Australian Royalties
Corporation Pty Ltd ("ARC") to acquire ARC's 77,777,778 fully paid ordinary
shares in Aztec, giving Gallagher a 6.88% interest in Aztec. Completion of the
acquisition of these shares is due to take place on 23 November 2006. Gallagher
stated that, subject only to Aztec directors recommending that Aztec
shareholders accept the Offer (in the absence of a better offer), Gallagher will
accept the offer in relation to all of the Aztec shares within 5 trading days
after satisfaction of this condition.
