Amendment to the Agreement between Emvelco and Trafalgar

Following the company's immediate report dated February 4 2008, regarding the
Company's engagement in an investment agreement with the international
investment fund Trafalgar Capital Specialized Investment Fund ("Trafalgar"), and
following the immediate report regarding the private allotment to Trafalgar
dated April 9, 2008 (hereinafter: the "Allotment Report"), whose contents are
incorporated in this immediate report by reference, the company hereby notifies:

On April 29, 2008, Trafalgar and the company's parent company, Emvelco Corp.
agreed to amend the agreement entered between them (the "Share Exchange
Agreement"), according to which, if the company will not be successful in
publishing a shelf prospectus, Emvelco will sale to Trafalgar shares out of the
shares freely traded it shall hold (when its shares will be free from the
restrictions imposed on them according to section 15c of the Securities Law).
For the description of the provisions of the Share Exchange Agreement, see the
Company's immediate report dated February 3, 2008. According to the aforesaid
amendment, the Share Exchange Agreement shall not apply on the 69,375,000
ordinary shares offered to Trafalgar and ATW as described in the Allotment
Report.
