        Sub: TERMINATION OF DEPOSIT AGREEMENT dt MARCH 18, 2004
       by and among ACC Limited (formerly The Associated Cement 
      Companies Ltd.) and CitiBank N.A. as Depositary and the holders of  
      the Global Depository Shares

    With reference to the above we may inform you that we have proposed to delist the Global Depositary shares of the Company, which are
presently listed in the London Stock Exchange (LSE)/UKLA. 


    Vide our letter dated 1st September, 2008, we have directed the depository 
    (Citibank N. A., Newyork) to terminate the Deposit Agreement with effect from Wednesday October 15, 2008. Please find enclosed herewith
copy of the said letter for your ready reference and record.

      Sub: TERMINATION OF DEPOSIT AGREEMENT dt MARCH 18, 2004
       by and among ACC Limited (formerly The Associated Cement 
      Companies Ltd.) and CitiBank N.A. as Depositary and the holders of  
      the Global Depository Shares 
       
    This has reference to the DEPOSIT AGREEMENT dated March 18,2004 between ACC limited (formerly known as Associated Cement Companies
Limited), CitiBank N.A acting in its capacity as depositary and all holders and beneficial owners of Global Depositary shares evidenced by
Global Depositary Receipts issued under the Agreement.

    We propose to delist the Global Depositary shares of the Company which are presently listed in the London Stock Exchange (LSE)/UKLA
after terminating the Deposit Agreement by giving sufficient notice to the holders of the Global Depositary Shares.

    Pursuant to Section 6.2 of the said Agreement we are hereby directing the Depositary to terminate the Deposit Agreement with effect from
Wednesday October 15, 2008. 
    Accordingly we request you to issue at least thirty days prior Notice of such termination to all the Holders of GDRs.

    Pl forward a copy of the Notice issued for our information.
