Sub: Recommendation by the Board of Directors in respect of
     Dividend for the financial year ended 31st December 2006.


We have to inform you that the Board of Directors of the Company at its Meeting
held today have considered the Audited Statement of Account for the financial
year ended 31st December 2006 and  recommended payment of dividend at the rate
of Rs. 15/- (Rupees fifteen only) per share.


It has accordingly been decided to close the Register of Members and Share
Transfer Books of the Company from 16th March 2007 to 28th March 2007(both days
inclusive) for the purpose of determining payment of the above dividend to the
shareholders.


The said dividend, if approved by the shareholders at the Annual General Meeting
(AGM) of the Company to be held on Wednesday, 28th March 2007, will be made
payable to those shareholders whose names stand on the Register of Members on
Wednesday 28th March 2007.  In respect of shares held in dematerialized form in
the Depository System, the dividend will be paid to the beneficial owners as on
15th March 2007 as per the list provided by the Depositories. The dividend will
be payable on and from11th April 2007.
