     Bonds - FCCBs

We have to inform you that pursuant to the Resolutions passed by Circular dated
March 1, 2006, by the Shareholders/Investors Grievance Committee of the Board,
1,81,249 shares were allotted against Conversion of FCCBs by Bond Holders

Consequently, the paid up Share Capital of the Company has increased from
18,57,66,423 shares to 18,59,47,672 shares of Rs.10/- face value, as of date.
