Dear Sirs,

                                                 

We have acquired 98.84% of the equity shares of TARMAC India Pvt. Ltd. (TIPL).
TIPL was a subsidiary of Tarmac UK - which is part of Anglo American plc Group.
TIPL is in the Ready Mix Concrete business since 1997. It has two Ready Mix
Concrete Plants located in Mumbai and Navi Mumbai respectively. The acquisition
has been made at a cost of Rs. 12.40 crores. The acquisition is with immediate
effect and is on "going concern" basis.


TIPL will now be a subsidiary of the Company.
