Sub:  Result of Postal Ballot

Pursuant to Section 192A(2) of the Companies Act 1956, read with the Companies
(Passing of the Resolution by Postal Ballot) Rules 2001 a Notice dated July 22,
2005 was sent to shareholders seeking their approval through postal ballot to
the Ordinary Resolution for sale of the Company's Refractories Undertaking
comprising of  Katni Refractory Works situated in Katni in Katni Distric in the
State of Madhya Pradesh and Nagpur Refractory Works  situated in Butibori,
Nagpur in Nagpur District, in the State of Maharashtra to ICICI Venture Funds
Management Company Limited or its nominees for a total consideration of Rs.257
crores.

The result of the voting conducted through Postal Ballot are given in the
attached statement to be released to the Press.

                           RESULT OF POSTAL BALLOT


Pursuant to Section 192A(2) of the Companies Act 1956, read with the Companies

2005 was sent to shareholders seeking their approval through postal ballot to
the Ordinary Resolution for sale of the Company's Refractories Undertaking

The Result of the voting conducted through Postal Ballot is as under

The Ordinary Resolution as per the Notice dated July 22, 2005 for sale of
Company's Refractories Undertaking is accordingly hereby declared as passed with
the requisite majority.
