                           RESULT OF POSTAL BALLOT

Pursuant to Section 192A(2) of the Companies Act 1956, read with the Companies
(Passing of the resolution by Postal Ballot) Rules 2001 a Notice dated January
10, 2005 was sent to shareholders seeking their approval through postal ballot
to the Ordinary Resolution for sale of the Company's unit viz. Mancherial Cement
Works situated in Adilabad District in the State of Andhra Pradesh.

The  results of the voting conducted through Postal Ballot is as under:-

Number of valid Postal Ballot forms received

Votes in favour of the Resolution                             68853605
Votes against the Resolution                                   71616
Number of invalid Postal Ballot forms received                  390
Percentage of votes cast in favour of the Resolution           99.62

The Ordinary Resolution as per the Notice dated January 10, 2005 for sale of
Company's unit viz. Mancherial Cement Works is accordingly hereby declared as
passed with the requisite majority.
