                     ANNOUNCEMENT TO THE LONDON STOCK EXCHANGE

                     Arko Holdings plc ("the Company" or "Arko")

Mr. Chin Kam Chui, Chairman of the Company resigned from the Board of Arko on 24
March 2004, following his conviction in the Hong Kong court on a charge of
conspiracy to defraud. Mr. Chin has been given a custodial sentence of six and a
half years but he has already appealed against his conviction.


The Board of Arko wishes to reiterate that the offence for which Mr. Chin has
been convicted does not relate in any way to the business of Arko or any of its
subsidiaries.


The directors of Arko intend to initiate the recruitment of a new Director to
act as chief executive of the Company and Mr. Chin's father, Mr Qin Shun Chao,
has joined the Board as a Director with effect from 23 April 2004. Further
information concerning Mr. Qin will be announced shortly.
