Result of General Meeting, Issue of Equity and Total Voting Rights

Actual Experience plc (AIM: ACT), the analytics-as-a-service company, is pleased to announce that all resolutions put to shareholders at the General Meeting held earlier today in connection with the Fundraising announced on 21 September 2022, were duly passed. The results were as follows:

The Fundraising remains conditional, inter alia, upon Admission and the Placing Agreement not being terminated in accordance with its terms.

Admission and Total Voting Rights

An application has been made to the London Stock Exchange for the admission to trading on AIM of an aggregate total of 156,037,500 Ordinary Shares in respect of the Fundraising. It is expected that Admission of the Fundraising Shares will become effective and dealings will commence at 08.00 a.m. on 10 October 2022. The Fundraising Shares will rank pari passu with the Existing Ordinary Shares.

Following Admission of the Fundraising Shares the Company will have 213,722,518 Ordinary Shares in issue. No shares are held in treasury, therefore, the total number of voting rights in the Company following Admission will be 213,722,518.

Shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the issued share capital of the Company, under the FCA's Disclosure Guidance and Transparency Rules.

Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the Circular, published by the Company on 21 September 2022.
