HAVEN FUNDING (32) PLC


DOCUMENT RE:             Issue of a further #18,150,000 
             7 percent. Secured Bonds due 2032 (the "New Bonds")
issued at an issue price of 105.5239 per cent. payable in full on acceptance.
The New Bonds will be consolidated with #82,350,000 7 per cent. Secured Bonds
     due 2032 of Haven Funding (32) PLC (the "Existing Bonds") to form a 
      single series of #100,500,000 7 per cent. Secured Bonds due 2032

            Droitwich Spa and Rural Housing Association Limited
                                    and
                    Mercian Housing Association Limited

                    Royal Bank of Canada Europe Limited
