Preference Shares issued by BIBM Preferents Ltd. and trading on the United 
Kingdom Professional Securities Market

The Euro 60,000,000 Series A Euro CMS Linked non-Cumulative Perpetual Guaranteed
Preference Shares issued by BIBM Preferents Ltd. are guaranteed by Banc 
Internacional D'Andorra S.A., a company incorporated under the laws of Andorra. 
The terms and conditions of the guarantee are described in a subordinated 
guarantee dated 26 June 2006 executed and delivered by Banc Internacional 
D'Andorra S.A.

On 24 July 2007, the shareholders of Banc International d'Andorra Banc Agricol 
Reig, S.A. formalised a process to integrate Banc Internacional d'Andorra, S.A.
and Andorra Banc Agricol Reig, S.A., which was intended to be carried out by 
means of a share swap between the shareholders of Bank International d'Andorra,
S.A and the shareholders of Andorra Banc Agricol Reig, S.A., who were intending
to exchange their respective shares in Banc International d'Andorra, S.A and
Andorra Banc Agricol Reig, S.A..

The shareholders of Banc International d'Andorra, S.A. and Andorra Banc Agricol
Reig, S.A. have now agreed to stop the integration process described above and
reverse any steps taken under that process. Banc International D'Andorra S.A.
will continue to exist in the same form as prior to the commencement of the
integration process."
