EURONEXT DUBLIN ANNOUNCEMENT
CLOVERIE PUBLIC LIMITED COMPANY
(the "Issuer")
Series 2009-002 EUR 425,000,000 Fixed to Floating Notes due
2039
(ISIN: XS0442190855, Common Code: 044219085) issued pursuant to
the Secured Note Issuance Programme of the Issuer (the "Notes")
secured over EUR 425,000,000 in principal amount of EUR
425,000,000 Dated Subordinated Notes (the "Collateral Notes") of
Zurich Insurance Company Ltd (the "Collateral Issuer")
Notice of Mandatory Redemption pursuant to exercise of
Collateral Issuer Call Option
Reference is made to (i) the series prospectus dated 24 July
2009 setting out the terms and conditions of the Notes (the
"Conditions") and (ii) the amended and restated principal trust
deed dated 21 July 2009 and the supplemental trust deed dated 24
July 2009, each between, amongst others, the Issuer and the
Trustee, and together constituting the Notes.
Capitalised terms used herein and not defined shall have the
meaning given to them in the Conditions.
The Notes are admitted to the Official List of the Irish Stock
Exchange plc trading as Euronext Dublin and to trading on its
regulated market.
The Issuer was notified on 24 June 2019 that the Collateral
Issuer intended to exercise its option to early redeem the
Collateral Notes on the First Call Date (as defined in the terms
and conditions of the Collateral Notes), being 24 July 2019 and the
Collateral Issuer exercised its call option on 24 July 2019.
In accordance with the Conditions of the Notes and the Notice of
Mandatory Redemption pursuant to exercise of Collateral Issuer Call
Option dated 28 June 2019, the Issuer has redeemed each Note in
whole at its Mandatory Redemption Amount on the date hereof.
