Admission to the Official List

The Board of Anglo & Overseas Plc (the "Company") announces today that a total
of 89,724,361 Ordinary Shares of 10p each ("Shares") have been issued to
shareholders of Anglo & Overseas Trust PLC ("AOT") pursuant to the scheme of
reconstruction of AOT (the "Scheme"). The Shares were issued at a price of 100p
per Share, which represents a premium of 90p per Share over the nominal value of
10p per Share.  The aggregate value (at the issue price of 100p per Share) of
the Shares issued represents the Formula Asset Value of the ordinary shares of
10p each in AOT in respect of which shareholders in AOT elected (or were deemed
to have elected) to receive Shares under the Scheme.

Following application for admission to the Official List made to the UK Listing
Authority and to the London Stock Exchange for admission to trading, dealings in
the Shares are expected to commence on 29 July 2005. CREST accounts are expected
to be credited in respect of Shares issued in uncertificated form on 29 July
2005 and certificates in respect of Shares issued in certificated form are
expected to be issued in the week commencing 1 August 2005.

The Board of the Company announces that it has appointed JPMorgan Cazenove
Limited as the Company's financial adviser and corporate broker.
