PETERBOROUGH (PROGRESS HEALTH) PLC (the "Issuer")

GBP446,115,000, 5.58 per cent. Guaranteed Secured Bonds due 2042

unconditionally and irrevocably guaranteed as to scheduled payments of principal and interest pursuant to a bond financial guarantee issued by FGIC UK Limited (the "Bonds")

(ISIN XS0308856276)

The Issuer gives notice that:

a) AgenSynd S.L. is now the Bond Trustee, Security Trustee, Liquidity Facility Agent, Change of Law Facility Agent and Principal Paying Agent for the Bonds and the related finance documents; and

   b)   the GBP50,000,000 variation bonds currently held for the Issuer have been cancelled. 

AgenSynd S.L. was recently acquired by Sanne Group PLC.

This notice shall be governed by and construed in accordance with English law.
