OBRASCON HUARTE LAIN, S.A. (the "Company"), in compliance with the provisions of article 82 of Act 24/1988, of 28 July, on the Securities Market (Ley del Mercado de Valores), by means of this document notifies the National Securities Market Commission (CNMV) of the following

RELEVANT FACT

The Company informs that, in relation to the tender offer of its EUR 700,000,000 7.375 per cent. Notes due 2015 issued in 2010 and listed on the London Stock Exchange (the "Securities"), announced on 15 March 2012 by means of relevant fact number 160261, the final aggregate principal amount of Securities accepted for purchase by the Company in the context of the tender offer has been EUR 176,250,000.

The Company's acceptance for purchase of Securities remains subject to the completion of the issue of new securities of the Company also announced by means of relevant fact number specified above, on the Tender Offer Settlement Date, expected to be 27 March 2012.
