The accession of new Guarantors of the GBP350,000,000 6.250 per
cent. Guaranteed Notes due 2026 ISIN XS0629974352 (the "Notes")
This serves to notify Noteholders of the above mentioned Notes
that on 21 March 2022, Co-operative Group Holdings (2011) Limited
agreed to the accession of Co-op Funeral Plans Limited and Co-op
Insurance Services Limited as new Guarantors under the Notes.
