Termination of the appointment of Sanwa Bank (Deutschland) Aktiengessellschaft
as Deutschmark Arranger and Dealer under the Programme

Please be advised in accordance with Clause 10 of the Dealer Agreement dated 6th
November, 1996 in relation to the above programme, that Sanwa Bank
(Deutschland) Aktiengesellschaft ("SBD") shall terminate its appointment under
the Programme as a Permanent Dealer and Deutschmark Arranger with effect from
31st December, 1998.
