                        Results of the General Meeting

Shareholders are advised that at the meeting of Genbel shareholders held on
Thursday, 15th February 2001, the special resolutions required to approve:

  * the amendment of the general authority to the directors of the company
    to enable Genbel, or its subsidiary(ies), to repurchase ordinary shares in
    the company, and
  * certain amendments to the company's articles of association, were passed
    by Genbel ordinary shareholders by the requisite majority.

The special resolutions are in the process of being registered with the
Registrar of Companies.
